Terms of Use

These terms of use, made on _________, and latest updated on __________, comprise the legally binding agreement (“Agreement”) between us, Making It Saral, (hereinafter, “us”, we”, “our”, etc.) and the user of our website or other platform(s) (“User”). This Agreement is not exhaustive and additional terms and conditions may be added without specifically amending this Agreement for the purpose of any Course, Workshop, Lecture, etc.

1. What do We do?

We are a firm engaged in the business of coaching school-going students and young college-students to make it easier (SARAL) for them to succeed in their college. We believe that this would not only help them professionally – better grades and better placement opportunities – but also improve their mental health as our client-students would know Us as someone they can lean on to learn.

We aim to teach students at this pre-college, or early-college levels so that they can utilize their remaining time in the college to the best of their abilities, and with the support of a community created by Us.

To further this aim, we provide the following services:

· 30-90 minute long workshops, highlighting and summarizing various issues that could help students in their college life.

· 1-2 day seminars, providing practical, real-life guidance into things that a student and/or practitioner is supposed to do.

· 5-7 day courses, providing in-depth lectures and discussion of various issues in various disciplines of study.

· 20-30 day courses, providing hand-held mentoring through issues relevant for development of skills and professional abilities. (taken together, “Services”)

2. Who can use our Services?

While Making It Saral is aiming to serve pre-college and early-college students, who are all welcome to avail our Services if they find them relevant, other students, such as later-year college students, Masters’ students, Doctorate students, other professionals etc. are welcome to avail our Course.

If some person has been expelled from our Seminar for any reason, then such a person cannot avail any of our Services for any reason.

3. Purchasing and Availing our Services

Our Services may be purchased at various links shared on the Internet. As of ________, these payment links would only be for UPIs. Upon making payment through UPI, a user is expected to email to Us at makingitsaral@gmail.com the following information:

· Full Name

· Age

· Parent’s Name

· Educational qualifications (Class (in school)/ Semester or trimester (in college)/ Graduate/ Doctorate, etc.)

· Mobile Number

· Email Address

· UPI Reference ID

· Course/ Workshop/ Seminar (singular or plural) chosen

· In case the person is a minor, then a scanned document (attached here at this link) containing signatures of parent(s)

No rights of refund are available in the event of non-compliance of this clause for seven days from the day of payment.

Only upon receiving this information from a user, would Making It Saral consider them a student in one or more of their courses. Upon receiving this information, Making It Saral would share relevant details, such as timings and other modalities of classes/ seminars/ courses, along with various kinds of reading materials.

4. Refunds

If We have not Made It Saral for any consumer, then subject to the following conditions, they are entitled to a refund to the extent defined below:

Longer Courses

12 hours before the commencement of the Course – 100%

Within 48 hours of the first “class” – 75%

Any time after the above – 0%

Notwithstanding anything contained in this Clause, no refunds shall be issued to Users who are expelled for any reason within this Agreement.

6. Bullying, Ragging and Harassment Code

Bullying, Ragging and Harassment are prohibited. If there is reasonable suspicion that a student has engaged in any of these activities, then that student shall be expelled or suspended.

For the purpose of this clause, Bullying includes “behaviour by an individual or a group, usually repeated over time that intentionally or unintentionally hurts another individual either physically or emotionally.”

Ragging means “any disorderly conduct, whether by words spoken or written, or by an act which has the effect of teasing, treating or handling with rudeness any other student, indulging in rowdy or undisciplined activities which causes or is likely to cause annoyance, hardship or psychological harm or to raise fear or apprehension thereof in a fresher or a junior student, or asking the student to do any act or perform something which such student will not do in the ordinary course and which has the effect of causing or generating a sense of shame or embarrassment or adverse affect on the physique or psyche of a fresher, or a junior student.” Similarly, the Prohibition of Ragging Act 2011 applies to Making It Saral in pari materia.

Harassment means and includes:

  • Demeaning or stereotypical comments or slurs
  • Ridicule, jokes, pranks
  • Name-calling
  • Physical or verbal aggression
  • Gestures
  • Display or possession of sexually graphic materials or cartoons
  • Physical contacts
  • Explicit or implicit threats separate from supervisory expressions of disciplinary intent
  • Malicious gossip or any other activity creating an intimidating or hostile work environment.

Sexual harassment such as something that would be punishable under the Prevention of Sexual Harassment at Workplace Act, and would include:

· Physical contact

· Sexual advances or solicitation of favors

· Comments or slurs, jokes, pranks, name-calling

· Gestures

· Display of sexually graphic materials (not for business purposes)

· Malicious gossip

· Stalking, whether physical or online

· Verbal or physical behaviors with explicit or implicit sexual connotation.

Negative Discrimination based on:

· Age, disability, association with a person with a disability

· National origin, race, ancestry or ethnic background, color

· Record of arrest or conviction (if not job-related)

· Religious belief or affiliation

· Sex or sexual orientation, marital status

· Military participation, political belief or affiliation

· Use of a legal substance outside of work hours.

Complaints under this Bullying, Ragging, and Harassment Code may be made to Saral at saral@makingitsaral.com, or to harassmentcode@makingitsaral.com.

Upon receipt of the complaint, Making It Saral may issue interim orders, including arrangements for the parties to remain without contact. Parallelly, We shall also convene a panel comprising of people with background in harassment/ bullying laws. That Panel will hear both parties before handing down a decision. A final right to appeal to the Founder, Saral, shall remain and may be exercised by the Parties. If the accused is found guilty, or even if it is found that there was a reasonable suspicion that the accused was guilty, the Panel may decide to expel or suspend them.

7. Entire Agreement

This Agreement constitutes the sole and entire agreement of the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. This Agreement may only be amended, modified, or supplemented by an agreement in writing signed by duly authorized representatives of both Parties. Notwithstanding the foregoing, certain operational details, such as specifications, course-periods, course-details, refund policies or pricing adjustments, may be modified through mutually agreed upon written communications, such as email correspondence or formal notices, provided that such modifications do not fundamentally alter the scope, term, or core obligations of this Agreement, and are clearly documented and acknowledged by both Parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party waiving the right.

8. Communication

For any official notices and communications regarding these Terms, you agree to contact us exclusively via email at support@makingitsaral.com. We, in turn, will communicate with you through your registered account email, by notices posted on the Website, or via in-platform notifications. All communications are effective upon sending by us or actual receipt by us.

9. Prohibited Activities

No User is permitted to:

· Copy, reproduce and/or distribute any materials provided by Us to a third party without a valid licence.

· Record video lectures with or without intent to distribute, or share the link of the video lectures to any third person.

· Privately contact any person on or outside of Our platforms without their express, written consent, which may be obtained by writing to support@makingitsaral.com.

· Upon being given assignments, Users shall not use any dishonest means, including AI (unless expressly mentioned).

· Undertake any activity provided in Clause 6 above.

· Falsify credentials submitted by them to Making It Saral.

Doing any of these activities shall result in fine, expulsion or both. The final decision on this matter shall be of the founder, Saral.

10. Intellectual Property Rights

All materials, content, and intellectual property (e.g., lecture notes, recordings, course designs) provided by Making It Saral remain its sole property and the User is only granted a limited, non-transferable license to use them for personal, non-commercial purposes.

11. Indemnity

The User agrees to indemnify, defend, and hold harmless Making It Saral from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to User's performance under this Agreement.

12. Limitation of Liability

Making It Saral’s liability shall not extend to indirect, incidental, or consequential damages arising from the use of Our Services or any information provided. The User agrees that law, history, political science, economics (all of which are interrelated) carry the possibility of being offensive to some sensibilities. Initiating, or causing to be initiated, any kind of proceedings against Making It Saral for expressing such views shall result in expulsion and damages to cover reasonable attorneys’ fees.

13. Nature of Lectures

a) The views expressed in any format (lecture, workshop, seminar, etc.) are opinions entirely of the person delivering the lecture. Since they are opinions only, Making It Saral is not liable for any incorrectness, incompleteness, erroneousness, unless such error is a gross error that has been not corrected within 10 days from being informed of the existence of the error by any User.

b) The lectures shall be online, and links will be shared with all registered Users.

c) The lectures may, at the sole discretion of Saral, be rescheduled (advanced or postponed) depending on relevant circumstances, such as health of the instructors.

14. Nature of Lectures

a) Term: This Agreement shall commence on the day a User registers with Making It Saral and shall continue until culmination of all courses/ seminars/ workshops the User subscribed to, or until terminated earlier in accordance with the provisions of this Clause.

b) Termination by Mutual Agreement: This Agreement may be terminated at any time by the mutual written agreement of both the registered User and Making It Saral.

c) Termination by the Making It Saral for Cause: Making It Saral may terminate this Agreement immediately upon written notice to the User if the User, in the opinion of the Founder, Saral:

a. Commits a material breach of any term or condition of this Agreement, including but not limited to, the "Prohibited Activities" outlined in the clause titled “Ragging, Bullying and Harassment”;

b. Fails to make timely payment of any fees due as per the payment schedule;

c. Engages in any conduct that is disruptive, unethical, or harmful to the learning environment or the reputation of Making It Saral;

d. Violates any applicable laws or regulations while on Making It Saral's premises or during Making It Saral activities.

In these cases, no refunds shall be issued to such Users.

d) Termination by the Registered User:

a. Termination for Convenience: The User may terminate this Agreement for convenience in accordance with the Refund Policy above. 

b. Termination for Cause: The registered User may terminate this Agreement immediately upon written notice to Making It Saral if Making It Saral:

i. Fails to provide the agreed-upon coaching services as described in this Agreement;

ii. Commits a material breach of any term or condition of this Agreement.

e) Effect of Termination:

a. Upon termination of this Agreement for any reason, the User shall immediately cease participation in all coaching programs and discontinue use of Making It Saral's facilities and materials.

b. Any fees due and payable by the Student to Making It Saral up to the date of termination shall remain payable.

15. Governing Law and Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended. The seat of arbitration shall be Delhi, India, and the language of the arbitration shall be English. The decision of the arbitrator(s) shall be final and binding on both Parties. This Agreement shall be governed by and construed in accordance with the laws of India.

16. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.
